Thinking About Selling Your Business? 3 Tips for Smooth Sailing into the Sale of Your Business

For many business owners, selling a company is the culmination of years—sometimes decades—of hard work. It’s exciting, but it can also be a little overwhelming. The good news is that with the right preparation, the process can be far smoother (and more profitable) than many people expect.

Here are three practical tips we often share with clients who are starting to think about a sale.

1. Get Your House in Order Early

Buyers want clarity. That means clean financials, organized corporate records, and clear documentation of key contracts and obligations. The more buttoned-up your business is before it goes to market, the more confidence a buyer will have—and that often translates into a smoother diligence process and stronger valuation.

2. Know What Your Business Is Worth Before You Set the Price

Many sellers don’t realize that the purchase price often gets anchored very early—sometimes in a Letter of Intent. Before you get to that stage, it can be extremely helpful to have your business valued or obtain a qualified opinion on valuation. Understanding the range of what your company may be worth puts you in a stronger negotiating position and helps ensure you don’t leave value on the table.

3. Don’t Skip the Transaction Attorney—Even for “Smaller” Deals

We often see owners assume that if their business is selling for under $1 million, the deal doesn’t justify hiring a strong transaction attorney. That’s simply not the case. Even relatively small deals can involve complicated issues around representations, indemnification, payment terms, and post-closing obligations. Without the right legal guidance, sellers can unintentionally give up important protections—or walk away with far less than they expected.

At our firm, we regularly help business owners prepare for and navigate the sale of their companies—from early planning through closing. If selling your business is on the horizon, thoughtful preparation now can make all the difference later. And when you’re ready to start the conversation, we’re happy to help chart the course.
